Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Grab a Seat mobile application (the "Service") operated by Grab a Seat ("we", "us", "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

Grab a Seat is a personal relationship management application that helps you stay in touch with friends, family, and contacts. The Service allows you to store contact information, set reminders, track interactions, and receive nudges to reach out to people.

3. Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. You must be at least 13 years old to create an account.

4. User Content and Data

You retain ownership of all data you submit to the Service, including contact information, notes, and interaction history ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service to you. You can export or delete your User Content at any time through the Settings screen.

5. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You agree not to:

• Use the Service for spam, harassment, stalking, or any unlawful purpose
• Attempt to access other users' data or accounts
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools, bots, or scrapers to interact with the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or redistribute the Service without our written permission

6. Subscriptions and Payments

Grab a Seat offers free and paid subscription tiers. Paid subscriptions are billed on a monthly or yearly basis through Stripe.

• Billing — You will be billed in advance on a recurring basis according to the plan you select.
• Cancellation — You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
• Refunds — Refund requests are handled on a case-by-case basis. Contact us at henry.escobar@gmail.com for refund inquiries.
• Price changes — We may change subscription prices with reasonable notice. Continued use after a price change constitutes acceptance of the new price.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Grab a Seat and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.

8. Termination

You may terminate your account at any time by deleting it from Settings → Data & Privacy → Delete Account.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. When possible, we will provide notice and an opportunity to export your data before termination.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will function uninterrupted, secure, or error-free, or that defects will be corrected. We are not responsible for the accuracy or completeness of any information you store in the app.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRAB A SEAT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months prior to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Grab a Seat and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in California.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms within the app and updating the "Effective date" above. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
